Terms of Service

By accessing or using Market Fortress (the “Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

If you accept these Terms on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

Market Fortress provides corporate governance, compliance, and disclosure software for public-company issuers. Capabilities include filing wizards, material event tracking, equity management, board portals, and AI-assisted document workflows.

We may update or evolve the Service from time to time. We will provide reasonable notice of material changes that affect your use.

You are responsible for safeguarding the credentials used to access the Service and for all activity that occurs under your account.

You must promptly notify us at security@marketfortress.app of any unauthorized use or suspected compromise.

You retain all ownership of the data you upload, ingest, or generate through the Service (your “Customer Data”).

You grant Market Fortress a limited license to process Customer Data solely for the purpose of providing the Service to you. We will not sell your data, train shared AI models on your data, or use your data for marketing without your express written consent.

Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated into these Terms by reference.

Subscription fees are billed in advance on the cadence specified at signup (monthly or annually).

Fees are non-refundable except as required by law. We may change pricing with at least 30 days' advance notice for renewals.

You may terminate your subscription at any time. Termination takes effect at the end of the current billing period.

We may suspend or terminate your access for material breach of these Terms or our Acceptable Use Policy, with reasonable notice where practicable.

On termination, you may export your Customer Data for 30 days. After that period, we will delete or anonymize it.

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, Market Fortress disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

The Service is a technology platform, not legal advice. Decisions about disclosure, filings, and compliance remain your responsibility and that of your counsel.

To the maximum extent permitted by law, Market Fortress's aggregate liability for any claim arising out of these Terms or your use of the Service will not exceed the fees paid by you in the 12 months preceding the claim.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Disputes are subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

We may update these Terms from time to time. We will notify you of material changes by email and post the revised Terms with a new effective date. Continued use after changes constitutes acceptance.
