Section 16 alerts
How the system tracks Form 3, 4, and 5 deadlines.
Section 16 of the Exchange Act requires officers, directors, and 10% holders to file Form 3 (initial), Form 4 (transaction), and Form 5 (annual catch-up).
Deadlines
- Form 3: within 10 days of becoming an officer or director.
- Form 4: within 2 business days of the transaction.
- Form 5: within 45 days of fiscal year end.
Auto-detection
The system detects triggering events from Vault changes (new officer, board appointment) and from connected broker feeds (transactions). When a trigger is detected, a Form 4 draft is auto-started with the known facts.
Late filings
Late Form 4 filings appear on the proxy statement next year (Item 405). The system surfaces this risk in amber 6 hours before deadline and red 1 hour before.
Officer onboarding
When you add an officer to the Vault, the system asks for their broker account. If you connect it (via the Carta or DriveWealth integrations), Form 4 detection is fully automatic.
