File a Form 8-K

Step-by-step walkthrough of the 8-K wizard from event picker to EDGAR.

An 8-K reports a material event. The wizard takes 10 to 25 minutes depending on how many Items you need.

Step 1: Event picker

Pick the Items you are reporting (1.01, 2.02, 5.02, 7.01, 8.01, 9.01, etc.). The wizard supports any combination. Multi-Item 8-Ks are common when a single event triggers several disclosure obligations.

Step 2: Per-Item drafting

For each Item you picked, the wizard surfaces the right form. For 5.02 (officer departure or appointment), it pulls candidate officers from the Vault. For 1.01 (material contract), it pulls candidate counterparties. For 7.01 (Regulation FD), the system auto-attaches the "furnished, not filed" disclaimer.

Step 3: Review

Cross-disclosure consistency check fires automatically. If your 8-K says you appointed a new CFO and your Vault still lists the old CFO, you get an amber warning with a one-click reconcile.

Step 4: EDGAR packet

The system builds the EDGAR submission packet (HTML, exhibits, EDGAR-compliant tagging). You preview the rendered version before submission.

Step 5: Submit or schedule

Submit immediately, schedule for a specific time (within 4 business days of the event, per the rule), or save as draft for counsel review.

After submission

The filing appears in /drafts as Submitted with the EDGAR accession number. The audit trail records the submission with a hash of the exact bytes sent.
