Filing calendar

How deadlines are auto-computed and surfaced.

Updated 2026-04-30calendardeadlinesoperations

The Calendar module computes filing deadlines for every applicable form, with federal-holiday and business-day awareness.

What it computes

  • 10-K: 60, 75, or 90 days after fiscal year end depending on filer status.
  • 10-Q: 40 or 45 days after quarter end depending on filer status.
  • 8-K: 4 business days after the triggering event (Item-specific exceptions noted).
  • Form 3: 10 days after officer or director event.
  • Form 4: 2 business days after transaction.
  • DEF 14A: 17 CFR 240.14a-6(b) says definitive proxy materials are filed with the Commission no later than the date they are first sent or given to security holders. 17 CFR 240.14a-6(a) is the preliminary step, and an ordinary annual meeting is not filed in preliminary form. The 20 calendar day count in 17 CFR 240.14c-2 is for an information statement, not for every DEF 14A. 17 CFR 240.14a-6(q) is a separate distribution timing rule for a de-SPAC proxy only.
  • Reg A 1-K: 120 days after fiscal year end.

Holiday handling

Federal holidays push the deadline to the next business day. The calendar uses the SEC's published holiday schedule.

Reminders

Reminders fire 30, 14, 7, 3, and 1 days before deadline. Each reminder includes a one-click jump to the relevant draft.

Custom events

You can add your own events: board meetings, audit committee meetings, earnings call dates. Custom events trigger the same reminders system.
