Cap table

The cap table is the source of truth for ownership, options, warrants, and convertibles.

Structure

Three tabs:

• Holders: every shareholder, optionholder, and warrantholder with their position.
• Securities: every security class, with rights and preferences.
• Transactions: every issuance, transfer, exercise, conversion, and cancellation.

Carta sync

If you use Carta, connect under Settings > Integrations. The sync pulls holders and transactions hourly. Manual edits in Market Fortress flow back to Carta on the next sync cycle (with conflict review).

Manual entry

Without Carta, you can enter the cap table manually or upload a templated XLSX. The XLSX template is downloadable from the Equity module.

Diligence binder export

One-click export to a diligence binder: cap table waterfall, transaction history, current ownership pie chart, fully-diluted vs basic, and dilution scenarios.
