Why it exists
A typical S-1 is 200 pages of narrative across 17 Item categories. Drafting from scratch with counsel costs $400K to $1.2M. Concierge does the first 70% of drafting in two to four weeks at a fraction of that cost.
How it works
You answer a structured intake (1 to 2 hours). Concierge produces a full first draft, with all Items populated from the Vault and the intake. You and counsel iterate from there.
What it produces
A complete S-1 (or 1-A or F-1) with: cover page, prospectus summary, risk factors, use of proceeds, capitalization, dilution, MD&A, business, management, executive compensation, principal stockholders, related-party transactions, description of capital stock, plan of distribution, legal matters, experts, and Part II.
What it does not produce
Audited financial statements (those come from your auditor). Legal opinions (those come from counsel). Underwriter exhibits (those come from the underwriter).
